These Website Terms of Use (the "Terms") govern your access to and use of the website at ngtax.ai and any related pages, tools and content (together, the "Site") operated by NGTAX.AI, INC., a Delaware corporation ("NGTAX.AI", "we", "us" or "our"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern the Site only. Use of the NGTAX.AI platform and services is governed by a separate written agreement between NGTAX.AI and the subscribing firm (the "Service Agreement"). If the Service Agreement conflicts with these Terms, the Service Agreement controls.
1. Eligibility and intended users
The Site is directed to accounting and tax professionals, their firms and businesses located in the United States. It is not directed to children under 16, and we do not knowingly collect information from them.
2. No professional advice; no professional relationship
The Site, including its whitepapers, industry pages, calculators and checkers, is provided for general information only. It does not constitute tax, legal, accounting, valuation or investment advice, and it is not a substitute for advice from a qualified professional who knows your facts. No accountant–client, attorney–client, fiduciary or other professional relationship is created by your use of the Site or by any communication with us through it. See the Disclaimer.
3. Free tools
The Delaware franchise tax calculator, the Form 5472 checker and any other tool on the Site (the "Tools") produce estimates from the information you enter and from simplifying assumptions stated alongside each Tool. Results may be incomplete or inaccurate for your circumstances. You are solely responsible for verifying any result with the relevant taxing authority or a qualified professional before relying on it. We do not store the information you enter into the Tools.
4. Early-access program and statements about the platform
The NGTAX.AI platform is in early access. Descriptions of features, agents, models, coverage, availability and pricing on the Site describe our current design and plans, may change without notice, and are not a commitment to deliver any feature by any date. Items marked "In development" or "Roadmap" are not currently available. Prices shown are founding-firm prices offered on the terms stated in a Service Agreement and are subject to change before general availability. Nothing on the Site is an offer capable of acceptance.
5. Acceptable use
You agree not to: (a) use the Site in violation of any law; (b) attempt to gain unauthorized access to the Site or any related system; (c) interfere with or disrupt the Site, including by introducing malicious code or by automated access that imposes an unreasonable load; (d) scrape, copy or redistribute the Site's content except as these Terms permit; or (e) submit through the Site any taxpayer information, tax return information or other confidential client information.
6. Intellectual property
The Site and its content, including text, graphics, diagrams, software and the arrangement of them, are owned by NGTAX.AI or its licensors and are protected by intellectual property laws. You may view and print pages, and share links to them, for your own non-commercial or internal business purposes, provided you keep all proprietary notices. All other rights are reserved.
"NGTAX.AI" and the NGTAX.AI logo are our marks. Claude, Claude Opus and Claude Sonnet are trademarks of Anthropic, PBC, used to identify the models we use; NGTAX.AI is not affiliated with or endorsed by Anthropic. Other names are the property of their owners. NGTAX.AI is not affiliated with or endorsed by the Internal Revenue Service or any other government agency.
7. Submissions
If you send us feedback or suggestions, you grant us a non-exclusive, perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you. Do not send confidential information as feedback.
8. Third-party links
The Site may link to third-party websites, including government sources we cite. We do not control and are not responsible for them, and a link is not an endorsement.
9. Disclaimer of warranties
THE SITE AND THE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY INFORMATION ON IT IS COMPLETE, CURRENT OR CORRECT.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NGTAX AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY TAX, PENALTY, INTEREST OR ADDITION TO TAX, ARISING OUT OF OR RELATING TO THE SITE OR THE TOOLS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnity
You will indemnify and hold harmless NGTAX.AI and its affiliates, officers, employees and agents from any claim, loss or expense, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of the Site.
12. Governing law and disputes
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The state and federal courts located in King County, Washington have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to their jurisdiction.
13. Changes
We may change these Terms by posting a revised version on the Site with a new "Last updated" date. Changes apply from that date. Your continued use of the Site after a change means you accept it.
14. General
If any provision of these Terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. These Terms are the entire agreement between you and us regarding the Site.
